Cooperatives: Two Worlds in One Organization

The global financial crisis, and various corporate scandals preceding it, have raised the question about alternative organizational forms. Cooperatives are a worldwide phenomenon and provide such an alternative. They are enterprises collectively owned by many independent sellers or buyers. These organizations are usually not publicly-listed, provide benefits to members, have democratic procedures for goal setting and decision-making, and have special rules for dealing with capitalization and profit.
Owners of a cooperative are usually referred to as members. Members have two roles. On the one hand, they have a transaction relationship with the enterprise by providing inputs or buying outputs. On the other hand, they are owners collectively possessing the residual rights over the cooperative and take decisions regarding it. The main challenge of a cooperative is that it has to address two audiences. A cooperative has to serve member interests and to generate value at the joint enterprise. Given that the organizational structures required for these two tasks are different, and the cooperative is designed for the former task, the downstream party does not always perform the latter task well. The organizational design challenge is to accommodate these two worlds in one organization by structuring the decision rights (formal versus real authority, board structure, asset partitioning, collective decision making, voice, one member one vote, ...) and income rights (quality and quantity differentiation, delivery and purchasing agreements, closed versus membership policy, ...).

Governance of Bounded Cognition in Supply Chains

Individuals have limited capabilities to gather, absorb, and process information within a limited amount of time. Our limited cognitive abilities have therefore to be used effectively in order to deal successful with complex, vague situations. Organizations may enable the constraints of bounded cognition to be circumvented, so that more information can be gathered and a greater variety of expertise can be used in its compilation and evaluation than any individual or small group could achieve. An important theme is therefore that the functioning of organizations is not embodied in the parts, but in the organization of the parts. This is why organizations, groups of individuals, may be able to do more (make better decisions) than any single individual. Another important theme is that different governance structures aggregate the same local information in different ways. It entails that every structure of information channels leads inevitably to a certain bias in the provision of information. The choice of governance is therefore a choice between different kinds of biases because errors are typically systematic.

The primary purpose of this project is to examine how governance structures differ in their organization of the cognition of boundedly rational agents in a supply chain, and to identify the circumstances when a governance structure is efficient. The implications are analyzed regarding a variety of topics, such as governance structure and project selection, communication in cooperatives versus investor owned firms, the extent and direction contractual incompleteness, vested interests and the governance of supply chains, and so on.
